The position involves end-to-end compliance management, board and stakeholder coordination, advisory support, and active involvement in corporate funding and transaction documentation across group entities, promoter family businesses, and an educational institution.Job Description1. Compliance & Regulatory ResponsibilitiesEnsure compliance with the Companies Act, 2013, FEMA, SEBI (where applicable), RBI regulations, and other applicable laws across:Gera Holdings Private Limited and its group entitiesPromoter family–owned companies / LLPsEducational institution (TGS School – Trust/Society compliance)Monitor and implement changes in corporate, secretarial, and regulatory laws.Timely filing of statutory returns, forms, and disclosures with:Registrar of Companies (ROC)MCA, RBI, and other regulatory authoritiesEnsure adherence to Secretarial Standards (SS-1 & SS-2).Coordinate and support statutory, secretarial, and internal audits.2. Corporate Governance & Board SupportOrganize and manage:Board MeetingsCommittee MeetingsAnnual General Meetings (AGMs) and Extraordinary General Meetings (EGMs)Draft notices, agendas, explanatory statements, and resolutions.Prepare, record, and maintain minutes and statutory records.Act as a key coordination point between:Board of DirectorsSenior ManagementShareholders and stakeholders3. Group, Promoter & Institutional ComplianceHandle secretarial and compliance matters for:Promoter family businesses and investment entitiesEducational institution (TGS School), including:Trust / Society compliancesRegulatory filings with education authoritiesGovernance and record maintenanceEnsure structured compliance reporting across entities.4. Risk Management & Advisory RoleIdentify legal, regulatory, and compliance risks across group operations.Advise management on governance, structuring, and compliance implications of strategic decisions.Support corporate restructuring activities such as:Mergers / demergersAcquisitionsBuy-back of sharesSlump sale and internal reorganizations5. Documentation & Records ManagementMaintain statutory registers, records, and filings as per law.Draft, review, and manage legal and corporate documents, including:Resolutions, agreements, and compliance reportsEnsure proper document management and confidentiality.6. Training, Awareness & Knowledge ManagementProvide guidance and updates to Directors and KMPs on:Corporate governanceCompliance requirementsRegulatory changesStay updated on evolving corporate, securities, and funding-related regulations.Qualifications & SkillsQualificationsQualified Company Secretary and member of ICSI (mandatory)Additional qualification in Law / Finance / Business Administration preferredSkillsStrong knowledge of:Companies Act, FEMA, RBI, SEBI regulationsCorporate governance and secretarial practicesExposure to corporate funding and transaction documentationExperience working with debt-funded or equity-funded companiesExcellent drafting, organizational, and communication skillsHigh level of discretion and attention to detailProficiency in MS Office and compliance management toolsExperience2–5 years of relevant experience as a Company SecretaryPrior experience in:Group companies / real estate sector (preferred)Handling lenders, legal counsels, and regulatorsCorporate funding or restructuring transactionsWilling to onboard as Company Secretary and will be signing the financials and related documents after appointment in the Company as Company Secretary.
