Optimize: Fortifying operations and optimizing cash flow with a focus on long-term value creation.Role: Manager - LegalRelevant Experience: 7-10 YearsLocation: BangaloreWhat You Will OwnEnsure compliance with Company Law, corporate governance, and statutory requirements. Review, draft, and negotiate contracts, including vendor, partnership, consultancy, employee, investment, and M&A agreements, ensuring adherence to RBI, technology, and internal policies. Drive compliance and regulatory frameworks, manage legal risks, disputes, and litigation, and support strategic initiatives such as M&A, business expansion, and commercial or technology projects. Lead IP management and guide the legal team to deliver high-quality legal services.Experience You Should BringQualified Company Secretary and a LLB degree.Expertise in company law, contract law, corporate governance, RBI regulations, investment laws.Hands on experience in IPR. Knowledge of Data Privacy will be an added advantage.Proven ability to draft and negotiate complex contracts, including vendor, alliance, partnership, consultancy, and employee agreements.Experience with regulatory filings, and compliance frameworks.Risk management and advisory capabilities.Strong analytical and problem-solving ability.Ability to work independently and as part of cross-functional teams.Detail-oriented with a high level of organizational skills.Strong leadership and stakeholder management skills, with proven experience mentoring and managing a legal team effectively.What You Will Be Doing1.Company Law CompliancesEnsure compliance with the Companies Act, 2013, and related rules.Maintain statutory registers, records, and minutes of Board and General Meetings.File necessary e-forms and returns with the Ministry of Corporate Affairs (MCA).Advise management on company law & associated laws.2.Investment/ Disinvestment & Related CompliancesDraft and review investment/disinvestment agreements, shareholders’ agreements, share subscription agreements, and related documentation, documents related to merger and acquisition.Ensure compliance with FEMA, FDI, and SEBI regulations, wherever applicable.Manage post-investment compliance, including filings, disclosures, and investor communication.3.Agreement Review & Contract ManagementReview, draft, and negotiate agreements including vendor agreements, strategic alliance agreements, partnership agreements, consultancy agreements, and employee agreements. Additionally, handle investment/disinvestment agreements, shareholders’ agreements, share subscription agreements, and M&A documents.Monitor contract lifecycle, implement tracking processes, and provide timely advice to business teams.4.Strategic InitiativesProvide legal support for strategic initiatives/ projects.Review contracts, agreements, and partnerships associated with such initiatives/ projectsAdvise on legal risks, regulatory requirements, and compliance considerations.Draft, review and finalise T&Cs, policies, or user agreements or any other similar document as per the requirement.Coordinate with internal teams and external stakeholders on legal matters.5.Intellectual Property (IPR) ManagementFormulate/ Implement strategies for effective management, filing, and protection of intellectual property in India and internationally.Manage trademark, copyright, and patent filings for Tally and its enforcement. Enhance processes for BAU requests related to IP matters.6.Advisory & Risk ManagementProvide proactive legal and compliance advice to business teams.Monitor regulatory changes, assess impact, and implement necessary changes in policies and procedures.Develop and maintain standard templates and compliance checklists.7.Corporate Governance & Policy FrameworkSupport enhancement and implementation of corporate governance frameworks aligned with regulatory requirements.Draft, review, and update internal policies, procedures, and terms and conditions in consultation with relevant stakeholders.8.Dispute Resolution & Litigation Management Oversee legal risk management, dispute resolution processes, and manage external counsel in litigation matters.Prepare and manage legal responses, statutory communications, and correspondence with various stakeholders.9.Team LeadershipLead and manage the team, providing guidance, training, and support to enhance their skills and performance.Foster a collaborative and high-performance work environment within the legal function.Delegate tasks effectively and ensure timely delivery of legal services by the team.Support career development initiatives and performance evaluations for team members.Note: Only shortlisted candidates will be contacted for further steps in the hiring process.
