Position:
Legal Consultant

Educational Qualification:

  • LLB from a reputable institution.
  • Mandatory additional qualification as a Chartered Accountant (CA) or Company Secretary (CS).
Total Experience: 5-8 years. Experience in general corporate team and/or Private Equity is preferred.

Key Responsibilities:

Legal Advisory:

  • Provide Specialized Legal Consultation on Private Investment Transactions
  • Offer expert advice on Private Equity fund administration.

Risk Management:

  • Identify and address legal and reputational risks associated with Private Equity onboarding.
  • Ensure effective disclosure and mitigation of risks.

Due Diligence:

  • Conduct thorough due diligence of target companies.

Document Drafting and Negotiation:

  • Draft, negotiate, and vet investmentrelated agreements, MOUs, and other legal documents.
  • Coordinate with various teams to ensure agreement closure.

Compliance:

  • Ensure compliance with Indian Foreign Exchange Management Act, Securities and Exchange Board of India Guidelines, and Companies Act.
  • Oversee compliance, filing, and corporate governance.

Commercial Assessment:

  • Assess legal and commercial aspects of investment agreements.

Record Keeping:

  • Maintain statutory registers and company records.
  • Handle all types of legal forms.

Stakeholder Management:

  • Liaise with ROC, lawyers, clients, government authorities, senior management, consultants, and external agencies.
