Key Responsibilities:
  • Head the Secretarial Team for the Porter group of companies.
  • Establish policies, procedures, and guidelines for compliant secretarial operations across all jurisdictions where Porter operates.
  • Offer secretarial support to various departments: business, finance, technology, and HR.
  • Conduct board meetings, prepare agendas, notes, minutes, and resolutions.
  • Lead the Company through Pre-IPO, IPO, and Post-IPO phases.
  • Ensure full compliance with the Companies Act, LLP Act, FEMA, and other applicable regulations while overseeing overall vigilance on compliance matters.
  • Manage ESOP/SAR policies and automate cap table and ESOP systems.
  • Handle statutory registers, submissions to ROC/RD/other authorities, and ensure inter-departmental compliance.
  • Assist in defining CSR/ESG objectives, planning ESG activities, and ensuring effective reporting.
  • Manage stakeholders, boards, committees, and shareholder meetings akin to a public company.
  • Act as the primary liaison for the Board of Directors, aiding communication and providing governance support.
  • Collaborate with internal teams like legal, finance, and HR to ensure alignment on governance and compliance matters.
  • Develop governance systems and policies adhering to the highest standards.
  • Engage with external legal, consultancy, and audit teams as required for governance and compliance issues.
  • Create and deliver training programs on governance, compliance, and ethical standards.
  • Participate actively in investor relations management and reporting.
  • Handle relationships with external consultants, legal teams, and regulatory bodies.
  • Support contract review, negotiation, and compliance from commercial, financial, and regulatory perspectives.
  • Collaborate closely with international teams from various departments such as Finance, Accounting, Legal, and Tax.

The company secretary will be accountable for establishing and upholding organizational secretarial practices, processes, templates, and driving departmental enhancements.Skills and Qualifications:
  • ICSI membership with 12-15 years of relevant experience in a multinational or large Indian corporation, including at least 5 years as an in-house Company Secretary of a listed company.
  • Preference for candidates with a law degree and additional qualifications/certifications in legal and regulatory fields.
  • Demonstrated success in leading a company through a successful IPO.
  • Proficiency in areas such as company law, foreign exchange regulations, secretarial standards, governance, and compliance.
  • Strong organizational skills, strategic thinking ability, and sound judgment in handling complex issues.
  • Thorough understanding of corporate laws, governance principles, and industry best practices.
  • Excellent communication, interpersonal, and stakeholder management skills.
  • Experience in team leadership and management, with a talent for motivating and developing professionals.
