Job Description: CompanySecretary (IPO and PostListingManagement)

PositionOverview: We are seeking anexperienced and proactive Company Secretary to join our teamspecializing in guiding the company through the process of InitialPublic Offering (IPO) and providing comprehensive support forpostlisting compliance and shareholder management. The idealcandidate will possess a strong background in corporate governanceregulatory compliance and capital markets with a focus on SME IPOsin platforms such as NSE Emerge and potentially BSESME.

KeyResponsibilities:

  1. IPOPreparation: Provide strategicguidance and support to the companys management team throughout theIPO preparation process including drafting offer documents liaisingwith regulatory authorities and coordinating with legal andfinancialadvisors.
  2. ComplianceAssurance: Ensure compliancewith all regulatory requirements including those set forth by SEBI(Securities and Exchange Board of India) stock exchanges and otherrelevant authorities both during the IPO process andpostlisting.
  3. Documentationand Filing: Prepare and filenecessary documents disclosures and forms with regulatoryauthorities ensuring accuracy completeness and timeliness incompliance with IPO and listingrequirements.
  4. ShareholderCommunication: Act as a primarypoint of contact for shareholders addressing their queries concernsand requests promptly and effectively and facilitatingcommunication between the company and itsshareholders.
  5. Boardand Committee Support:Coordinate board and committee meetings prepareagendas minutes and resolutions and ensure compliance withcorporate governance standards and regulatoryrequirements.
  6. PostListingCompliance: Monitor and ensurecompliance with ongoing regulatory obligations postlistingincluding periodic reporting disclosure requirements and corporategovernancenorms.
  7. SEBICompliance: Stay abreast of SEBIregulations guidelines and circulars applicable to listed SMEs andensure timely implementation of necessary changes to maintaincompliance.
  8. CorporateGovernance: Implement andmaintain robust corporate governance practices policies andprocedures to safeguard the interests of stakeholders and enhancetransparency andaccountability.
  9. ShareholderRelations: Cultivate positiverelationships with shareholders institutional investors andregulatory authorities and address any issues or concerns raised bystakeholders in a timely and effectivemanner.
  10. RiskManagement: Identify and assesslegal regulatory and compliance risks associated with the companysoperations and listings and develop strategies to mitigate theseriskseffectively.


Requirements

QualificationsandSkills:

  1. Bachelorsdegree in Law Commerce Business Administration or a related field.Associate membership of the Institute of Company Secretaries ofIndia (ICSI) is mandatory.
  2. Provenexperience as a Company Secretary preferably with experience inguiding companies through the IPO process and managing postlistingcompliance.
  3. Indepth knowledge ofcorporate laws securities regulations and listing requirementsapplicable to SMEs particularly on platforms such as NSE Emerge andBSE SME.
  4. Excellent communication andinterpersonal skills with the ability to interact effectively withsenior management board members regulators andshareholders.
  5. Strong analytical andproblemsolving skills with the ability to interpret complexregulatory requirements and provide practicalsolutions.
  6. Attention to detail andaccuracy in drafting legal documents regulatory filings andcorrespondence with regulatory authorities andstakeholders.
  7. Ability to work underpressure and meet tight deadlines while maintaining a high level ofprofessionalism andintegrity.
  8. Proficiency in MS Officeapplications and familiarity with corporate governance software andplatforms.
