Assistant Manager – Transaction Advisory Services

We are seeking a highly skilled Assistant Manager to join our Transaction Advisory Services (TAS) team, providing end-to-end support to US clients (CPA firms). This role requires a strong foundation in financial due diligence, QoE reviews, valuation, and databook preparation, coupled with the ability to review outputs, manage deliverables, and coordinate with onshore teams. The role is for someone who is seeking to grow and interested to invest in overall expansion of the practice.

As an Assistant Manager, you will be responsible for leading workstreams, ensuring quality of deliverables, and mentoring junior team members, while collaborating seamlessly with US counterparts in a fast-paced deals environment.

Key Responsibilities:

Deal Execution & Review


• Lead workstreams on buy-side and sell-side financial due diligence engagements.


• Prepare and review Quality of Earnings (QoE) analyses, working capital and net debt schedules.


• Databook preparation and financial variance analyses, ensuring accuracy and consistency.


• Perform valuation support, including DCF, comparable companies, and precedent transaction analyses.

Collaboration with US Teams


• Act as a primary India contact for US engagement managers and senior stakeholders.


• Ensure clear communication of findings, challenges, and recommendations.


• Deliver timely, well-documented outputs aligned with client and onshore expectations.

Leadership & Team Development


• Review and sign off on deliverables prepared by junior analysts.


• Coach, mentor, and train team members to enhance technical and process capabilities.


• Manage project workflows, prioritize competing deadlines, and uphold quality standards.

Desired Skills & Competencies


• Strong knowledge of Transaction Advisory, Due Diligence, QoE, and Valuations.


• Hands-on experience with databook preparation, reconciliations, and financial modelling.


• Advanced Excel and strong PowerPoint skills (financial analysis, dashboards, presentations).


• Excellent problem-solving skills with high attention to detail.


• Strong communication skills to coordinate effectively with US teams.


• Ability to lead small teams, manage multiple projects, and maintain quality under pressure.


• Flexibility to work in shifts overlapping with US time zones.

Qualifications


• Chartered Accountant (CA), CPA, CFA, or MBA (Finance) preferred.


• 5–7 years of experience in Transaction Advisory / Deals / Financial Due Diligence / Valuations.


• Prior Big 4 experience or exposure to offshore delivery models supporting US/Global clients is strongly preferred.

Experience Required: 5–7 years in Transaction Advisory / Deals (Big 4 or equivalent preferred)

Location: Remote (WFH)/ Bangalore (WFO preferred)

Working hours: 12pm to 9pm (IST)
