Responsibilities.

- Company Incorporation Support: Assist in the incorporation of various company types, including Private Limited (Pvt Ltd), Limited Liability Partnership (LLP), and One Person Company (OPC).

- Annual Compliance Management: Prepare and file annual returns (including forms LLP FORM 8, LLP FORM 11, AOC 4, and MGT 7) ensuring regulatory compliance.

- Corporate Record Keeping: Maintain accurate and detailed corporate records, including documentation of board meetings, minutes, and resolutions.

- Share Management: Manage activities related to share transfer and issuance.

- Equity and Funding Instrument Planning: Provide support in designing and planning for employee stock option plans (ESOP, MSOP), convertible instruments (CCPS), debentures, and innovative startup funding instruments like iSAFE.

- Regulatory Compliance: Assist with adherence to RBI regulations, including FLA and FCGPR filings.

- Legal Documentation: Draft basic contracts and agreements to support business operations.

- Intellectual Property Management: Manage trademark applications and hearings, ensuring the protection of intellectual property.

Qualifications:

- Professional Certification: Must be a qualified Company Secretary.

- Experience: Open to both experienced candidates with 1-2 years in a similar role and fresh graduates eager to build their careers.

- Legal and Regulatory Knowledge: A strong understanding of the Companies Act, along with other relevant regulations, is essential.

- Organizational Skills: Superior organizational and time management skills are required to handle multiple tasks efficiently.

Desired Skills and Experience:

- Familiarity with ROC procedures, company incorporations, and annual compliance filings (AOC, MGT).

- Experience with ESOP, MSOP, and other equity management tools.

- Strong command over written and spoken communication.

- Location: Gurgaon, Haryana.
