Job Summary: We are seeking an experienced and dynamic Company Secretary to join our team. The ideal candidate will have 7-10 years of experience in company secretarial functions and legal compliances, with a proven track record of handling Initial Public Offerings (IPOs). The Company Secretary will ensure the organization complies with statutory and regulatory requirements, manage corporate governance, and act as a point of communication between the board of directors and company shareholders. 


Key Responsibilities: 


  1. Corporate Governance: 
  • Ensure compliance with all relevant statutory and regulatory requirements. 
  • Maintain and update the company's statutory registers and records. 
  • Ensure that decisions of the board of directors are implemented. 
  1. Legal Compliance: 
  • Advise on compliance with corporate laws and regulations. 
  • Monitor changes in relevant legislation and the regulatory environment. 
  • Liaise with external regulators and advisers such as lawyers and auditors. 
  1. IPO Management: 
  • Lead and manage the entire IPO process, including due diligence, regulatory filings, and liaison with regulatory bodies (SEBI, stock exchanges). 
  • Coordinate with internal and external stakeholders (investment bankers, legal advisers, auditors) to ensure successful execution of the IPO. 
  • Prepare the company for public listing and ensure compliance with all post-IPO requirements. 
  1. Documentation and Filing: 
  • Prepare and file necessary documents with regulatory authorities. 
  • Draft and review various corporate documents, agreements, and contracts. 
  • Maintain proper records of minutes of meetings and other legal documents. 
  1. Stakeholder Communication: 
  • Communicate with shareholders, ensuring transparency and compliance with regulatory requirements. 
  • Handle queries and concerns from shareholders regarding corporate actions and compliance issues. 
  1. Risk Management: 
  • Identify and mitigate risks related to corporate governance and legal compliance. 
  • Develop and implement policies to minimize legal and compliance risks. 

Qualifications: 


  • Educational Background: 
  • Bachelor’s degree in Law, Business Administration, Finance, or related field. 
  • Professional qualification as a Company Secretary (CS) . 
  • Experience: 
  • 7-10 years of experience in a company secretarial role and legal compliance. 
  • Proven experience in handling IPO processes and related compliances. 
  • In-depth knowledge of corporate laws, securities regulations, and governance best practices.
