Our Client is a Research and Manufacturing Organization having manufacturing plant in Pune.

ROLES & Responsibilities:


Secretarial Matters:

Candidate should be well versed with laws relating to listed and unlisted entities.

He should have strong knowledge of companies act 2013, SEBI regulations.

Guide senior management on issues relating to Corporate Law Matters and its statutory compliances.

Advising on legal and procedural matters under the Companies Act.


Legal:


Liaising with government departments, Solicitors and Advocates for opinions and obtaining sanctions and clearance.

Handling litigations and representing the company before court, tribunals quasi-judicial bodies etc.

Liaising with various authorities viz. MPCB, labor, factories Dept., & other establishment authorities.

Drafting various legal & statutory documents pertaining to conveyance, Consultancy Agreement, Franchisee Agreement, Delivery Services Agreement, Sale Agreements, Letter of Intent (LOI), Leave and License Agreement, Lease Agreement, Sub Lease Agreement, Services Agreement, Power of Attorney (POA), Memorandum of Understanding (MOU), , Non-Disclosure & Confidentiality agreement, Maintenance Contract.

Loan documentation, search and status report.

Liaising with financial institutions, banks, other lenders, and stock exchanges, and furnishing periodical returns, reports and information required by them.


CSR/ESR ACTIVITES


Involvement in identifying CSR/ESR projects, CSR/ESR budgeting, implementing CSR/ESR projects and audit of projects.


Corporate Legal & Departmental Services


Co-ordinating with all the departments to ensure that relevant licences are obtained/renewed on time.



Required Qualification: CS & LLB with 10-15 years of post-qualification experience.
