Job Requirements
The M&A Finance- Post Acquisition plays a pivotal role to enhance shareholder wealth by effectively managing funds to meet operational needs, maximize profitability, ensure liquidity, and control risk, financial analysis and reporting all while maintaining stability and ensuring compliance with regulations. Key strategies involve strategic financial planning, set-up and strengthening processes and controls. efficient resource allocation, and risk mitigation to guide long-term success and growth. This role is also responsible for align with Quest Global policies, practices and reporting requirements and ensuring seamless financial integration post-acquisition.
This role requires a deep understanding of finance function, risk assessment, and regulatory compliance, as well as the ability to influence senior stakeholders and drive cross-functional collaboration with both Quest Global and Acquired entity team.
Smooth finance team functioning – For the acquired entities, ensure day-to-day finance operationsand performed seamlessly and effectively with adequate controls and process in place. The finance function's key responsibilities are managing financial resources, which includes financial planning and analysis, budgeting, cash flow management, risk management, and investment and financing decisions to ensure the company's fiscal health and support strategic goals. Ensure no impact to business from day 1 itself
Alignment with QUEST GLOBAL requirements – This role includes alignment with Quest Global requirement for finance function including
- Aligning with QUEST GLOBAL accounting policies including revenue recognition, provisioning for UBR/PBDD, accrual accounting, depreciation and capex policy etc.
- Adoption of IND AS
- IPO requirements
- QUEST GLOBAL reporting requirements including monthly corporate reporting pack, annual budgets, quarterly forecasts, measuring and monitoring KPI, performance tracking, specific reporting for making executive decisions
- Implement treasury policies
- Control design and implementation
- Implement internal control framework along with RACM and internal audit
- Corporate tax requirements [Direct and Indirect taxes]
- Ensure compliance with all applicable rules and regulatory requirements
- Condition subsequent governance and compliances
- Quarterly and annual audits
- Process documentation for finance function for key areas
- Data repository for all financial records and retention
- Accounting in Oracle [case-to-case basis]
- Support various corporate initiatives like entity structuring/ merger, closure of entities etc
Compliance and Corporate Governance: Ensure compliance with regulatory requirements and internal governance standards throughout the M&A lifecycle. Continuously improve financial processes, tools, and frameworks to enhance efficiency and accuracy.
Team Leadership: The role requires managing a team of QUEST GLOBAL SPOCS [across board] and Finance team and specialists of acquired entities to ensure that post integration milestones are collaboratively achieved and ensure seamless finance function integration with QUEST GLOBAL
Post acquisition integration: Ensure seamless integration with the QUEST GLOBAL as per plan by getting the acquired ready with the integration requirements and implement various checklists required for the purpose
Work Experience
Qualifications: Chartered Accountant (CA), Certified Public Accountant (CPA). Additional certifications/ experience in controllership, IND AS, IPO/listing requirements, MIS and reporting, valuation, process and controls, team management, understanding of various tax laws [direct and indirect] and other local laws is advantageous
Skills: Proficiency in financial modeling, Excel, ERP systems, and data analytics tools. Strong strategic thinking, communication, leadership, and stakeholder management capabilities.
