As a Qualified Company Secretary with a specialization in Due Diligence, you will play a pivotal role in facilitating the fund raising process for our clients in the stock market. You will be responsible for conducting thorough due diligence, ensuring compliance with regulatory requirements, and providing expert guidance to companies seeking capital infusion.
**Key Responsibilities**:
**Due Diligence Management**:
- Conduct extensive due diligence on companies seeking fund raising opportunities in the stock market.
- This includes assessing legal, financial, and compliance aspects of the business.
**Regulatory Compliance**:
- Stay updated on the latest regulatory changes and ensure that client companies adhere to all relevant laws and regulations.
**Documentation**:
- Prepare and review all necessary legal and financial documents required for fund raising, such as prospectuses, financial statements, and compliance reports.
**Corporate Governance**:
- Advise clients on corporate governance best practices and implement necessary changes to align with regulatory requirements.
**Risk Assessment**:
- Identify and assess potential risks in fund raising and provide recommendations for risk mitigation.
**Financial Analysis**:
- Analyze financial statements, cash flow, and budget projections to evaluate the financial health and stability of client companies.
**Stakeholder Communication**:
- Serve as a liaison between the client company, regulatory authorities, and stock market stakeholders, facilitating effective communication and compliance.
**Client Consultation**:
- Provide expert guidance to clients on the various fund raising options available, including initial public offerings (IPOs), rights issues, and private placements.
**Team Collaboration**:
- Collaborate with other departments, such as legal, finance, and investment banking, to ensure seamless and successful fund raising transactions.
**Qualifications**:
- A qualified Company Secretary (CS) with relevant certifications and memberships.
- Proven experience in due diligence, corporate governance, and compliance in the context of fund raising in the stock market.
- Strong understanding of stock market regulations, listing requirements, and compliance standards.
- Excellent analytical skills and attention to detail.
- Exceptional written and oral communication skills.
- A deep understanding of financial statements and corporate finance.
- Ability to work under pressure and meet tight deadlines.
- Highly organized and able to manage multiple projects simultaneously.
- Team player with excellent interpersonal skills.
