Qualifications:

  • Must be a Law Graduate having experience in contract governance, post-contract execution and contract management
  • Knowledge in creating and analyzing Excel based reports, Power Point Presentations
  • Knowledge in contract summarization and analysis
  • Require IT/ITES industry background

Experience: 12 years+

Responsibilities:

  • Drive contracting process post customer contract handover to execution - additionally, support the Post Sales Contractual Requirements during implementation phase.
  • Coordinate contract drafting/preparation/updating and negotiations and ensure e2e contract alignment
  • Resolution of contractual differences and contract development during the whole contract lifecycle
  • Creation of Contract Abstractions and gap analysis/comparative studies
  • Manage risk exposure and trade off list during contract negotiations and proper sync with all internal stakeholders
  • Drive inherent risk mitigation measures with stakeholders and closure of GAPs for main body (frame contract) and all annexes such as pricing, performance metrics, acceptance, timelines, before contract signing including feedback to Service Delivery/Operations/ Teams of previous contract
  • To work around the Contract Governance framework within SGS dealing with administrative, risk and compliance management
  • Thorough understanding of contractual conditions that impact pricing along with clear understanding of all risk and assumptions, promises and commitments, to be able to understand risk managed commercial models
  • Sound understanding of customer contracts from an operational point with clear approach and views to technical, Digital, legal and contractual obligation

Key Tasks:

  1. Drive acquisition team (SD, BC, Pricing, Legal & Compliance, Services and Procurement) to ensure that what is sold is defined precisely in the customer contracts including annexes according to defined contracting strategy
  2. Properly reflect price breaks/discounts/software licenses/performance metrics/forecasting etc., in the contract.
  3. Ensure that the SGS standard contract templates and guidelines are utilized to the extent possible to assure optimal commercial and financial KPIs.
  4. Information exchange to allow suitable e2e contract alignment to be achieved with internal functions and support procurement to achieve suitable terms
  5. Support the SD teams in negotiations with the customer in SOW reviews in order to challenge detrimental contractual requirements.
  6. Risk Management and setup and maintain trade off list during negotiation phase
  7. Review contractual requirements and provide abstraction, nonstandard terms, in compliance with Sutherland standard guidelines.
  8. Ensure that internal stakeholders are fully aware of the required functional and operational contract requirements and expectations (not limited to timelines, forecasting, metrics, acceptance process, KPIs, SLAs, …)
  9. Guidance for any contract interpretation with contract amendment if required.
  10. Adopt adequate tools and processes for claim/change management/risk management and ensure that required tool and process knowledge and understanding are conveyed to all
  11. Execute regular change control reviews with the stakeholders to drive processing of changes / claims / non- conformance cost e2e (identification of additional scope to contracted scope)
  12. Support Stake holders (SD, BC, BD, etc.,) and Legal in highlighting findings of contract governance process
  13. Track progress of contract obligations and record issues regarding their fulfilment.
  14. Execute regular risk review boards with stakeholders and drive the continuous maintenance, risk mitigation and risk contingency
  15. Ensure proper handling of contractual documents
  16. Generate and maintain contract GAP analysis (if not available from post execution of the contract)
  17. Drive the entire contract governance process (detailed below) and develop standard checklist:
  • Build the governance framework around contract governance.
  • Complete process documentation, risk assessment and mitigation.
  • Continuously look at process improvement – both internally (within the governance team) and externally (within the stakeholders' community);
  • Build authority / responsibility matrix around the Organization.
  • Work on standardizing the definition around performance indicators.
  • Work on standardizing and consistency of templates and reporting.
  • Reduction of scope creep / revenue – profit leakages.
  • Best practice – bench marking and continuous improvement initiatives.
  • Building robust framework – standard and specific to verticals.
