Qualifications and Requirements

To succeed in this role, you must possess:

  • A law degree with experience in contract governance, post-contract execution, and contract management;
  • Proficiency in creating and analyzing Excel-based reports and PowerPoint presentations;
  • Knowledge of contract summarization and analysis;
  • An IT/ITES industry background;

In addition, you should have at least 12 years of experience in the field.

Responsibilities

Your key responsibilities will include:

  1. Driving the contracting process post-customer contract handover to execution, while supporting the Post-Sales Contractual Requirements during the implementation phase;
  2. C coordinate contract drafting/preparation/updating and negotiations, ensuring end-to-end contract alignment;
  3. Resolving contractual differences and developing contracts throughout the contract lifecycle;
  4. Creating contract abstractions and conducting gap analysis/comparative studies;
  5. Managing risk exposure and trade-off lists during contract negotiations, while synchronizing with internal stakeholders;
  6. Driving inherent risk mitigation measures with stakeholders and closing gaps for main body (frame contract) and all annexes, including pricing, performance metrics, acceptance, timelines, before contract signing, including feedback to Service Delivery/Operations/Teams of previous contracts;
  7. Working within the Contract Governance framework at Sutherland, handling administrative, risk, and compliance management;
  8. Developing a thorough understanding of contractual conditions impacting pricing, as well as clear comprehension of risks, assumptions, promises, and commitments, to manage commercial models effectively;
  9. Having a sound understanding of customer contracts from an operational perspective, with a clear approach and views on technical, digital, legal, and contractual obligations;
Key Tasks

You will be responsible for:

  1. Driving the acquisition team (SD, BC, Pricing, Legal & Compliance, Services, and Procurement) to ensure that what is sold is precisely defined in customer contracts, including annexes, according to the defined contracting strategy;
  2. Properly reflecting price breaks/discounts/software licenses/performance metrics/forecasting, etc., in the contract;
  3. Ensuring the use of SGS standard contract templates and guidelines to optimize commercial and financial KPIs;
  4. Facilitating information exchange to achieve suitable end-to-end contract alignment with internal functions and supporting procurement to achieve suitable terms;
  5. Supporting SD teams in negotiations with customers in SOW reviews to challenge detrimental contractual requirements;
  6. Managing risk and setting up trade-off lists during negotiation phases;
  7. Reviewing contractual requirements and providing abstraction, non-standard terms, in compliance with Sutherland's standard guidelines;
  8. Ensuring that internal stakeholders are aware of required functional and operational contract requirements and expectations, not limited to timelines, forecasting, metrics, acceptance processes, KPIs, SLAs, etc.;
  9. Providing guidance for contract interpretation, with contract amendment if required;
  10. Adopting adequate tools and processes for claim/change management/risk management and conveying required tool and process knowledge to all stakeholders;
  11. Executing regular change control reviews with stakeholders to drive processing of changes/claims/non-conformance costs end-to-end (identification of additional scope to contracted scope);
  12. Supporting stakeholders (SD, BC, BD, etc.) and Legal in highlighting findings of contract governance process;
  13. Tracking progress of contract obligations and recording issues regarding their fulfillment;
  14. Executing regular risk review boards with stakeholders and driving continuous maintenance, risk mitigation, and risk contingency;
  15. Ensuring proper handling of contractual documents;
  16. Generating and maintaining contract GAP analysis (if not available from post-execution of the contract);
  17. Driving the entire contract governance process (detailed below) and developing standard checklists:
  • Building the governance framework around contract governance;
  • Completing process documentation, risk assessment, and mitigation;
  • Continuously looking at process improvement – both internally (within the governance team) and externally (within the stakeholders' community);
  • Building authority/responsibility matrices around the organization;
  • Working on standardizing definitions around performance indicators;
  • Working on standardizing and consistency of templates and reporting;
  • Reducing scope creep/revenue-profit leakages;
  • Best practices – bench-marking and continuous improvement initiatives;
  • Building robust frameworks – standard and specific to verticals;
Salary

This role offers an estimated salary of $120,000 per year, based on national averages and industry standards.
