Establishing a centralized governance function is crucial for multinational organizations seeking to elevate corporate governance and reinforce board effectiveness across their global group structure.

The role of Company Secretary will serve as the custodian of corporate governance, ensuring clarity, structure, and transparency across global entities worldwide. This involves maintaining a central repository for all governance and compliance documentation, while collaborating closely with in-country secretaries.

Key responsibilities include coordinating and overseeing the work of local corporate secretaries across multiple jurisdictions, monitoring global regulatory developments, and ensuring compliance across regions. Additionally, this role enables a cultural shift toward structured, transparent, and professional governance.

To achieve this, the Company Secretary will collaborate effectively with Finance, Legal, and People & Culture departments, while ensuring non-overlapping accountability. A strong understanding of corporate laws, governance codes, and regulatory frameworks in Singapore, UK, EU, and Asia is essential for success in this role.

Requirements include at least 10+ years of corporate secretarial and governance experience in multinational or multi-jurisdictional organizations, along with proficiency in digital collaboration and governance technology tools.

A significant amount of travel may be required, particularly to support boards at the senior-most level. Prior experience working in remote/global setups is highly desirable.

Professional Membership:

India: Membership of the Institute of Company Secretaries of India (ICSI). Equivalent qualification (SEC, OECD, or local corporate governance frameworks).

Experience:

Minimum 10+ years of corporate secretarial and governance experience in multinational or multi-jurisdictional organizations.

Knowledge of Corporate Laws, Governance Codes, and Regulatory Frameworks:

Strong knowledge of corporate laws, governance codes, and regulatory frameworks in Singapore, UK, EU, and Asia.

Digital Collaboration and Governance Technology Tools:

Proficiency in digital collaboration and governance technology tools.
