Job Title: Compliance Specialist

About the Role:

The successful candidate will be responsible for ensuring that our organization remains compliant with all relevant regulatory requirements.

  • Perform regular periodic compliances and other event-based compliances to ensure adherence to regulatory standards.
  • Coordinate with internal teams for the preparation of Minutes and recordings, as well as liaise with various security market intermediaries like RTAs, Stock Exchanges, SEBI, Depositories, Depository Participants etc.
  • Draft Annual Declaration and documents to be obtained from Directors at the time of appointment/re-appointment/annual declaration, as well as correspondences including intimate of Changes in directors etc, documentation for approval by NSE and documentation for intimation to SEBI, BSE, NSDL and CDSL etc.
  • Draft Directors report, MDA, Corporate Governance Report, CSR reports, & other Board/Committee related correspondence/compliances to ensure transparency and accountability.
  • Oversee Secretarial Audit & Regulatory Audits/Inspection etc. and maintain statutory records to ensure compliance with Companies Act, 2013, SEBI and RBI regulations.
Key Responsibilities:
  • Statutory compliances under Companies Act, 2013, SEBI and RBI regulations.
  • Maintaining of statutory records.
  • Convening board and committee meetings, pre and post meeting compliances, and maintaining minutes and proceedings.
  • Secretarial due diligences.
Requirements:

To succeed in this role, you will need strong communication and interpersonal skills, ability to work independently and as part of a team, proficiency in MS Office Suite, knowledge of secretarial practices and procedures, and attention to detail and ability to meet deadlines.
