Corporate Lawyer Position: Strategic Compliance Specialist

Job Summary:

We are seeking an experienced and detail-oriented Corporate Lawyer to join our team as an individual contributor. The ideal candidate will possess comprehensive knowledge of corporate laws, including the Companies Act, RBI regulations, BNSS, CrPC, intellectual property laws (trademarks, patents), and labor laws. The candidate will be responsible for setting up the organization's legal framework, ensuring statutory compliance, and providing strategic legal counsel to management.

Key Responsibilities:

  • Company Secretarial Functions:
    • Ensure compliance with statutory and regulatory requirements under the Companies Act, 2013.
    • Manage board meetings, AGMs, and EGMs; maintain minutes, statutory registers, and records.
    • File annual returns and relevant forms with the Ministry of Corporate Affairs (MCA).
    • Liaise with external regulators and advisors, including auditors and the Registrar of Companies (ROC).
  • RBI and Financial Compliances:
    • Manage compliance with Reserve Bank of India (RBI) regulations on foreign investments and reporting.
    • Prepare and submit returns, reports, and filings under FEMA and RBI guidelines.
  • Trademark and Intellectual Property:
    • Handle the registration, renewal, and protection of trademarks, copyrights, patents, and other intellectual property rights.
    • Ensure timely filing and manage opposition and infringement cases related to intellectual property.
  • Labor Law Compliance:
    • Provide guidance on compliance with labor laws, including the Payment of Wages Act, Shop and Establishments Act, Gratuity Act, PF & ESIC, etc.
    • Manage employee disputes and represent the company in labor courts or arbitration proceedings.
  • CPCB, BIS, and Legal Metrology Compliance:
    • Ensure adherence to the Central Pollution Control Board (CPCB) regulations on environmental standards.
    • Manage certifications and approvals required by the Bureau of Indian Standards (BIS).
    • Oversee compliance with the Legal Metrology Act concerning product weights and measurements.
  • Legal Documentation and Contract Management:
    • Draft, review, and negotiate contracts, agreements, MOUs, NDAs, and other legal documents.
    • Ensure all contracts align with the company's legal and regulatory requirements.
    • Oversee contract renewals, amendments, and termination processes.
  • Regulatory Compliance & Governance:
    • Stay updated on legal and regulatory changes affecting the business.
    • Implement governance frameworks and ensure adherence to corporate governance standards.
  • General Legal Advisory:
    • Provide legal counsel on corporate governance, regulatory issues, and dispute resolution.
    • Manage litigation processes and represent the company in legal matters.
    • Handle legal aspects of rental agreements, service agreements, and business contracts.
  • Employment-related Legal Support:
    • Narrow down on employment to termination agreements/offers.
    • Resolve disputes related to absconding or non-compliance with employment agreements.
    • Develop policies addressing data security, theft, and unauthorized access to company assets.
    • Participate actively in implementing the POSH (Prevention of Sexual Harassment) policy.
    • Manage external communication for incoming and outgoing employees regarding legal compliance.

Qualifications & Bachelor's Degree in Law (LLB); LLM or higher qualifications preferred.

Technical Skills:

  • Strong understanding of the Companies Act, financial regulations, and intellectual property laws.
  • Proficiency in legal drafting, contract negotiation, and dispute resolution.
  • Knowledge of labor law, employment agreements, and corporate governance.

Soft Skills:

  • Excellent written and verbal communication.
  • Strong analytical, problem-solving, and decision-making skills.
  • Ability to manage multiple tasks efficiently under pressure.
  • Strong organizational and interpersonal skills.

Additional Competencies:

  • Expertise in corporate governance best practices.
  • Experience in handling corporate litigation and dispute resolution.
  • High ethical standards, professionalism, and confidentiality in handling sensitive company matters.

Estimated Salary: $80,000 - $110,000 per year.
