Job Description
The Chief Financial Officer - Investor Relations & Corporate Strategy is responsible for overseeing all investor relations and corporate development activities, driving the company's M&A initiatives forward. This role involves developing and executing a strategic investor relations plan, engaging with the investment community, and identifying and executing key M&A opportunities. The incumbent ensures effective communication of the company's financial narrative to stakeholders and supports growth through targeted acquisitions.

Key Responsibilities
- Develop and implement a proactive investor relations strategy aligned with the company's goals and objectives, enhancing its value proposition.
- Maintain and strengthen relationships with current investors while identifying and targeting potential investors.

Financial Communications & Reporting
- Serve as the primary point of contact for the investment community, including analysts, institutional investors, and retail investors.
- Prepare and present quarterly and annual financial reports, earnings releases, and other critical financial communications.
- Organize and lead investor meetings, conference calls, and presentations.
- Craft clear and compelling messaging for earnings releases, press releases, and other key communications.

Market Analysis & Feedback
- Monitor market trends, competitor actions, and investor sentiment.
- Provide insights to senior management and the board on market perceptions and investor concerns.
- Conduct competitive analysis and offer insights on industry developments that may impact the company.

Regulatory Compliance
- Ensure all investor communications comply with regulatory requirements, including SEC regulations and disclosure practices.
- Collaborate with the legal and finance teams to maintain accurate and compliant financial disclosures.

Stakeholder Engagement
- Build and maintain strong relationships with key stakeholders, including institutional investors, analysts, and retail shareholders.
- Manage the shareholder engagement process, responding to inquiries and facilitating shareholder meetings.

Event Management
- Plan and execute investor-related events such as annual general meetings, investor days, and roadshows.
- Represent the company at industry conferences and investor meetings.

Mergers & Acquisitions Strategy
- Develop and execute the company's M&A strategy in alignment with overall business objectives.
- Identify and evaluate potential acquisition targets, partnerships, and investment opportunities.

Due Diligence
- Lead the due diligence process for potential acquisitions, including financial analysis, risk assessment, and synergy evaluation.
- Collaborate with cross-functional teams (legal, finance, operations) to ensure comprehensive due diligence and integration planning.

Transaction Management
- Negotiate terms and structure of M&A deals.
- Manage the end-to-end M&A process, from initial contact to deal closure and integration.
- Ensure timely and effective communication throughout the transaction process.

Post-Merger Integration
- Develop and oversee post-merger integration plans to ensure smooth transition and realization of expected synergies.
- Monitor and report on the performance of acquired entities to senior management.

Market & Industry Analysis
- Conduct market research and analysis to identify industry trends and potential M&A opportunities.
- Provide strategic recommendations to senior management based on market insights and competitive analysis.

Qualification
- Bachelor's degree in finance, Business Administration, Economics, or a related field (MBA or advanced degree preferred)

Must-Have Requirements
- Approximately 12 years of experience in investor relations, corporate finance, M&A, or a related field.
- Proven track record of managing investor relations for a publicly traded company and executing successful M&A transactions.
- Experience in strategic financial communications, market analysis, and transaction management.
