Job DescriptionWe seek a seasoned Senior Contract Governance Specialist to drive contracting processes post-customer contract handover to execution. Key responsibilities include:
- Drive contracting process post-customer contract handover to execution and support Post Sales Contractual Requirements during implementation phase.
- Coordinate contract drafting/preparation/updating and negotiations, ensuring end-to-end contract alignment.
- Resolution of contractual differences and contract development throughout the contract lifecycle.
- Creation of Contract Abstractions and gap analysis/comparative studies.
- Manage risk exposure and trade-off lists during contract negotiations and synchronize with internal stakeholders.
- Drive inherent risk mitigation measures with stakeholders and close GAPs for main body (frame contract) and all annexes such as pricing, performance metrics, acceptance, timelines, before contract signing.
The ideal candidate will have a thorough understanding of contractual conditions impacting pricing, risks, assumptions, promises, and commitments. They should also be familiar with risk-managed commercial models and customer contracts from an operational perspective.
Key Tasks- Drive the acquisition team (SD, BC, Pricing, Legal & Compliance, Services, and Procurement) to ensure what is sold is defined precisely in the customer contracts, including annexes, according to the defined contracting strategy.
- Properly reflect price breaks/discounts/software licenses/performance metrics/forecasting, etc., in the contract.
- Ensure that SGS standard contract templates and guidelines are utilized to the extent possible to assure optimal commercial and financial KPIs.
- Facilitate information exchange to allow suitable end-to-end contract alignment to be achieved with internal functions and support procurement to achieve suitable terms.
- Support the SD teams in negotiations with the customer in SOW reviews to challenge detrimental contractual requirements.
- Risk Management and setup and maintain trade-off lists during negotiation phases.
- Review contractual requirements and provide abstraction, non-standard terms, in compliance with Sutherland standard guidelines.
- Evaluate that internal stakeholders are fully aware of the required functional and operational contract requirements and expectations (not limited to timelines, forecasting, metrics, acceptance process, KPIs, SLAs, ...).
- Offer guidance for any contract interpretation with contract amendment if required.
- Adept adequate tools and processes for claim/change management/risk management and ensure that required tool and process knowledge and understanding are conveyed to all.
- Execute regular change control reviews with the stakeholders to drive processing of changes / claims / non-conformance cost e2e (identification of additional scope to contracted scope).
- Support Stakeholders (SD, BC, BD, etc.) and Legal in highlighting findings of contract governance process.
- Track progress of contract obligations and record issues regarding their fulfillment.
- Execute regular risk review boards with stakeholders and drive the continuous maintenance, risk mitigation, and risk contingency.
- Evaluate proper handling of contractual documents.
- Generate and maintain contract GAP analysis (if not available from post-execution of the contract).
- Drive the entire contract governance process (detailed below) and develop standard checklist:
- Build the governance framework around contract governance.
- Complete process documentation, risk assessment, and mitigation.
- Continuously look at process improvement – both internally (within the governance team) and externally (within the stakeholders' community);
- Build authority/responsibility matrix around the Organization.
- Work on standardizing the definition around performance indicators.
- Work on standardizing and consistency of templates and reporting.
- Reduction of scope creep/revenue-profit leakages.
- Best practice – bench marking and continuous improvement initiatives.
- Building robust framework – standard and specific to verticals.
