We are seeking an experienced Senior Associate-Corporate Services Professional to join our team in Mumbai, India. This full-time position offers regional coverage, allowing you to make a significant impact on our Global Service Centres Operations department and its growth.

Purpose of Role:

Scope:

You will be responsible for assisting and supporting our Compliance/Corporate Secretarial Team in ensuring effective delivery of corporate secretarial deliverables.

Key Responsibilities:

  • Generating Annual General Meeting packs for annual compliance, including notice, appointment of representatives, AGM minutes, consent for shorter notice members/auditors, and power of attorney.
  • Preparing Annual Compliance packs, which include generating board minutes/resolutions for financial statement approval and company registers from software.
  • Supporting change in officers, including drafting documents based on standard formats, such as letters of appointment/resignation and related companies registry filings.
  • Assisting with Share Charge Deliverables, including drafting/generating relevant letters/documents.
  • Preparing company formation documentation, including constitution, letter of no objection/association, and companies registry filings.
  • Generating Members Voluntary Liquidations (MVL)/Voluntary Strike Off packs, including board minutes, members resolutions, newspaper publications, and companies registry filings.
  • Performing ad-hoc activities as requested by the onsite team/organization.

Relevant Experience:

At least 1 year of Company Secretarial experience, preferably from a client service providing background.

Education and Professional Qualification Required:

Company Secretary or semi-qualified CS; Bachelor of Law with CS experience also considered. Computer skills: Microsoft Office, specifically Outlook, Word, Excel, and ability to work with systems.

Estimated Salary: ₹800,000 - ₹1,200,000 per annum, depending on experience and qualifications.
