Job scope: The Assistant Company Secretary will manage corporate governance, ensure compliance with legal and regulatory requirements, including FEMA (Foreign Exchange Management Act) and RBI (Reserve Bank of India) regulations, and provide high-quality administrative support to the Board of Directors and senior management. The ideal candidate will have 4-6 years of experience in a similar role, including experience with corporate restructuring and handling APAC Co-Secretarial matters independently.

Key responsibilities and accountabilities: Day to day operations of ACS

• Corporate Governance: a. Ensure compliance with the Companies Act, 2013, and other applicable laws and regulations. b. Assist in the preparation and maintenance of corporate records, including minutes of Board and Committee meetings. c. Facilitate the functioning of the Board of Directors and Committees, including organizing meetings, preparing agendas, and documenting minutes.

• Regulatory Compliance: a. Ensure timely and accurate filing of statutory returns with regulatory authorities such as the Registrar of Companies (ROC), Securities and Exchange Board of India (SEBI), and other relevant bodies. b. Monitor and ensure compliance with FEMA regulations for foreign investments and transactions. c. Manage RBI compliance related to foreign exchange transactions, including reporting and documentation. d. Monitor changes in relevant laws and regulations and assess their impact on the company. Job Description

• Secretarial Support: a. Draft, review, and manage company documents, resolutions and engagement letters. b. Maintain statutory registers and records, including registers of members, directors, and shareholders. c. Manage share transfers, issuance of share certificates, and other related activities.

• APAC Co-Secretarial Matters: a. Oversee corporate secretarial functions for APAC regions, including compliance with local corporate governance standards and regulatory requirements. b. Manage corporate restructuring activities, including mergers, demergers, and other reorganizations, ensuring adherence to legal and regulatory frameworks. c. Handle cross-border legal and compliance issues related to APAC jurisdictions. d. Assisting with the implementation of the governance processes and framework for around 30 legal entities spanning across APAC. e. Ensuring the statutory corporate documents, licenses, registrations, and corporate records of the legal entities are being properly maintained, and that our entities meet their corporate statutory filing obligations. f. Liaising with the external company secretary suppliers to ensure timely completion of applicable corporate secretarial compliances.

• Advisory Role: a. Provide legal and compliance advice to the Board and senior management on corporate governance matters on time-to-time basis. b. Assist in the development and implementation of corporate policies and procedures. Person-Profile Personality: • Attention to detail and high level of accuracy

Specific Job Skills:

• Communication: a. Serve as a liaison between the company and its shareholders, regulatory authorities, and other stakeholders. b. Prepare and communicate reports and correspondence as required.

• Administrative Duties: a. Ensure proper documentation and safekeeping of company records and legal documents. Job Description b. Independently manage Co-Sec compliance, including routine and complex regulatory filings and compliance checks. c. Ensure timely resolution of compliance issues and implementation of corrective actions as needed. Computer Skills:

• Microsoft Office – word, outlook and excel as minimum

• Adobe Acrobat Reader

• Company secretarial software.

Travel • Minimal or no travel will be required Qualifications and Skills Required:

• Qualified Company Secretary (CS) with membership from the Institute of Company Secretaries of India (ICSI).

• 4-6 years of experience as a Company Secretary in a corporate environment, including experience with FEMA and RBI compliance, APAC co-secretarial functions, and corporate restructuring.

• Strong understanding of corporate laws, FEMA, RBI regulations and regulatory frameworks.

• Experience in managing corporate restructuring and cross-border compliance matters.

• Excellent organizational and time-management skills.

• Ability to work independently and as part of a team. Language Skills:
