Corporate Governance Specialist

We are seeking a Corporate Governance Specialist to oversee corporate governance matters across the Americas and APAC.Key responsibilities include:Managing regional corporate records in secure document management systems, ensuring accessibility and accuracy.Coordinating statutory filings with local regulatory authorities, ensuring compliance with local filing requirements and deadlines.Supporting board and shareholder meetings, including preparing notices, agendas, and comprehensive meeting packs, drafting resolutions, and managing meeting logistics.Maintaining regional entity organizational charts and other structural documents.Ensuring accurate and up-to-date governance documents, including board and shareholder resolutions, minutes, company registers, powers of attorney, and other statutory documents.The ideal candidate will have a strong understanding of corporate secretarial obligations and regulatory compliance within the region. They should possess excellent written and verbal communication skills, with meticulous attention to detail, and be able to manage complex projects, multi-task, and meet tight deadlines.Proficiency in corporate governance software, document management systems, and Microsoft Office Suite is required, with experience in board portal software and coordinating electronic meetings.The working hours for this position are 12pm to 8pm IST.Please note that this role requires a robust understanding of corporate secretarial obligations, strong organizational skills, and experience managing governance matters in a multi-jurisdictional environment.
