Job Title: Legal Associate (Mid-Level) Department: Legal & Compliance Reports To: Head of Legal Counsel Location: [Specify – e.g., Pune / Hybrid / Remote] Job Summary The Legal Associate (Mid-Level) will play a pivotal role in supporting the legal and compliance needs of a fast-paced SaaS and IT services organization. This position requires independently managing a variety of legal matters, including commercial contracting, regulatory compliance, intellectual property protection, and corporate governance. You will work closely with teams across Sales, Procurement, HR, Product, and InfoSec to ensure legal risks are effectively mitigated while enabling smooth business operations. Key Responsibilities 1. Contract Lifecycle Management - Draft, review, and negotiate commercial agreements such as SaaS Subscription Agreements, MSAs, SOWs, Partner/Channel Agreements, NDAs, DPAs, and vendor contracts. - Ensure inclusion of SaaS-specific clauses (service availability, data protection, uptime SLAs, limitation of liability, IP ownership, etc.). - Act as the legal point of contact for internal stakeholders to enable timely deal closure and risk mitigation. - Maintain accurate records and version control using CLM tools or repositories. 2. Contract Renewals & Amendments - Proactively track renewals, expirations, and amendments across customer and vendor contracts. - Coordinate with business and delivery teams to update documentation and ensure service continuity. 3. Legal Reporting & Documentation - Prepare and maintain legal trackers and MIS reports on: - Contracts under negotiation or pending execution - Renewals due in the upcoming quarter - Contractual risks or audit findings - Ensure legal documentation is organized and audit-ready. 4. Intellectual Property & Brand Protection - Support trademark filings and renewals in collaboration with IP counsel. - Manage IP-related agreements (assignment, licensing) and maintain proprietary software/code records. 5. Insurance & Risk Management Support - Review insurance policies relevant to SaaS/IT services (cyber liability, tech E&O, general liability). - Assist in documentation and renewals for corporate insurance policies. 6. Regulatory & Corporate Compliance - Support compliance under ISO 27001, ISO 27701, GDPR, and HIPAA by reviewing policies and drafting legal documentation. - Liaise with external secretarial firms for board meetings, statutory filings, and corporate compliance. - Monitor and summarize updates in IT Act, Data Protection laws, and SaaS-specific regulations. 7. Legal Advisory & Research - Stay current on SaaS contracting, data privacy regulations, and cross-border compliance trends. - Draft internal legal advisories and risk assessments for key business decisions. Qualifications - Education: Bachelor’s degree in Law (LLB) required; LLM or certifications in Technology / Data Privacy Law preferred. - Experience: 4–7 years of post-qualification experience in SaaS/IT commercial contracting, data protection, and corporate legal advisory. - Skills: - Strong drafting and negotiation experience in technology and SaaS contracts. - Working knowledge of GDPR, HIPAA, and Indian data protection frameworks. - Proficiency with CLM platforms and legal automation tools. - Excellent communication, responsiveness, and commercial acumen. Competencies - Proactive and business-friendly legal approach. - Ability to manage multiple stakeholders and meet fast-paced deadlines. - High integrity, confidentiality, and professional ethics. - Ownership mindset with a drive for continuous learning.
