The Company Secretary & Compliance Officer plays a crucial role in ensuring that the company operates within legal and regulatory frameworks, maintains corporate governance standards, and adheres to compliance requirements.

Qualifications and Skills

  • Experience in Company Secretary role with knowledge of statutory compliances
  • Familiarity with legal compliance requirements and corporate governance practices

Roles and Responsibilities

  • Corporate Governance:
  • Ensure compliance with corporate governance principles and regulations.
  • Organize and attend board meetings, AGMs, and other corporate meetings.
  • Draft and maintain accurate records of board resolutions and minutes.
  • Legal Compliance:
  • Keep abreast of changes in relevant laws and regulations affecting the company.
  • Develop and implement compliance policies and procedures.
  • Conduct internal audits to assess compliance levels.
  • Regulatory Compliance:
  • Monitor and ensure compliance with regulatory requirements from relevant authorities.
  • Prepare and submit statutory filings and reports as required by law.
  • Liaise with external legal counsel or regulatory bodies when necessary.
  • Risk Management:
  • Identify and assess legal and compliance risks.
  • Develop strategies to mitigate risks and ensure the company's interests are protected.
  • Company Secretarial Duties:
  • Manage company records, registers, and filings with regulatory authorities.
  • Facilitate communication between the board of directors, management, and shareholders.
  • Ensure compliance with corporate laws and regulations governing the company's operations.
  • Training and Awareness:
  • Conduct training sessions to educate employees on compliance policies and procedures.
  • Foster a culture of compliance and ethical behaviour throughout the organization.

Qualifications and Skills:

  • Bachelors degree in law, Business Administration, or related field. A postgraduate degree or professional certification in company secretarial practice or compliance is often preferred.
  • Proven experience in a similar role, preferably within a regulated industry.
  • Strong understanding of corporate governance principles, company law, and regulatory requirements.
  • Excellent communication and interpersonal skills, with the ability to liaise effectively with internal and external stakeholders.
  • Analytical mindset with strong problem-solving skills.
  • Attention to detail and ability to work accurately under pressure.
  • Sound judgment and integrity to handle sensitive information and ethical dilemmas.
  • Proficiency in relevant software applications and tools for documentation and compliance management.
